A resolution outside of a general meeting does not require a properly convened meeting. A resolution passed in this way has effect as a resolution without dissent, a special resolution, or as an ordinary resolution. The requirements for this resolution are –
- There is a written vote (or a written confirmation of a vote) for each lot in the scheme
- Proxy votes are not allowed. The vote must be exercised by the person who would otherwise be entitled to vote on behalf of the lot at a general meeting
- All votes are “Yes” votes.
